Strategic AdvisoryHome Furnishings Retailer: Strategic Advisory. Advised stockholders, structured a settlement and buyout of a family-owned retailer of furnishings. After another investment banking firm failed to achieve promised valuation in a sale process, we led negotiations of settlement amongst family members and managed transaction process. Digital Graphics Supplier: Advising the owners of a $45 million digital graphics services company on strategic alternatives, including the sale of the company to an industry buyer. Plumbing Supplies: Advised management of a leading national importer and distributor of plumbing supplies on strategic alternatives, including the recruitment of new Chief Financial Officer to position the company for the next stage of growth. Shipping Services: Advised the shareholders of a short haul marine cargo services provider on financing and capitalization strategies. Picture Frame Manufacturer and Retailer: Advised $12 million manufacturer and retailer of picture frames on valuation, a potential management buyout and the recruitment of an executive necessary to assist in growing the company further. Business Services: Advised a $125 million business process outsourcing company serving the financial markets on strategic alternatives, including the recruitment of a Chief Operating Officer to accelerate the growth of certain business units. Medical Software Developer: Advised the board of directors of a developer of Electronic Records Management software on strategic alternatives including organizational design and capitalization strategies. Media Company: Advised management of a $30 million music and arts festival production company on strategic options for the business including the formulation of a long term business plan. Technology Services Company: Advising management of a technology service company in the telecommunications industry with a specialty in engineering, furnishing, installing (“EFI”) and testing optical fiber network equipment on a capitalization and strategic alternatives. Wireless Communication Services: Advised a diversified wireless services provider on a sale of part of the business. Also assisting with a small equity capital raise to fund the growth of an affiliated company active in the satellite communications market. Entertainment Venue Management Company: Advised the owners and managers of entertainment venues on appropriate contract terms for a new Group Chief Operating Officer to accelerate the growth of the business and to improve administrative activities. Medical Device Manufacturer: Since recruiting an engineering executive for a $20 million medical device manufacturer to augment sales and engineering expertise to position the company for the next stage of growth, the president engaged us to recruit a senior manufacturing executive. Staffing Company: Talent Management. Identified and placed a corporate controller in a $40MM staffing business to help improve the company's accounting records, bank reporting and administration. Medical Device Manufacturer: Advised owner of a $13 million medical device manufacturer on strategic options, including the sale of the business to a sophisticated buyer who has approached management. Document Management and Litigation Support: Assisting the owners of a document management company with corporate development options, including the identification and selection of a senior executive. Business Services: Advising an $80 million financial business process outsourcing company on strategic alternatives, including the recapitalization of the company and the sale of a division. Specialty Consulting Practice: After the untimely death of the principal, we advised his widow and the managers on the operating and strategic options, including the sale of the business. Insurance Brokerage: Led the annual strategic planning initiative for a $100 million regional insurance brokerage. After review of company heritage and competitive advantages, planned and led day-long strategic planning off-site meeting and developed follow-up program to assure completion of revised three year strategic plan. Store Fixtures Manufacturer: Management of a fast growing $30 million manufacturer of store fixtures recognized their need to augment management expertise to position the company for next stage of growth. We identified an executive with the appropriate operations experience, introduced him to management and he has since been hired. Media Company: Consulted with owners of $12 million media business and negotiated buyout of founder and CEO. Advised client on new $3MM bank line of credit that will be used to partially fund the buyout and future growth. Wireless Communications: Led efforts to find a partner and structure a U.S. strategic alliance with a Fortune 50 telecommunications company for a wireless telematic device targeted toward the parking industry. We also helped the Company secure several marketing alliances for this unique wireless application. Confectionary: Advised a $12 million confectionary company on new licensing agreement with a worldwide branded food company. Private Label Confectionary: After successfully advising a private label confectionary company on restructuring its credit facilities, we worked with the owners to explore outside opportunities for diversification of the business. Expert Witness: Qualified as expert witness in NYS Arbitration matter related to various aspects of raising private equity capital. |
